Welcome to Confoozd.com. These terms of use ("Terms") govern your access to and use of the website, platform, API integrations, and digital signage/data services (collectively, the "Service") provided by TheatreDigitalized ("we", "us", or "our").

By creating an account, connecting your systems, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Account registration and security

To use our platform, you must register for an account using a valid corporate email address.

• You are entirely responsible for maintaining the confidentiality of your account credentials, login information, and session tokens.
• You agree to notify us immediately at [email protected] if you suspect any unauthorized access to your account or any other breach of security.
• We cannot and will not be liable for any loss or damage arising from your failure to safeguard your account details.

Box office data & content license

Our platform relies on syncing with your internal event management systems.

• Data ownership: You retain all ownership rights to your data, including event schedules, ticket metadata, seating configurations, images, and show descriptions ("Client Data").
• License grant: By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, parse, transmit, modify (for formatting display sizing), and display your Client Data strictly as required to distribute the information to your connected digital displays or platform outputs.
• Accuracy: You are solely responsible for ensuring that all box office data and show parameters imported into our system are accurate and up to date.

API integrations and Stripe credentials

The Service features automated connections with third-party payment gateways, specifically Stripe.

• API security: When you provide Stripe API tokens, keys, or configurations to the platform, you represent and warrant that you have the proper corporate authority to grant us access to that infrastructure.
• Operational scope: We use your API credentials strictly to query metadata, verify transactional reporting parameters, and map financial routing profiles as requested by your account configurations.
• Third-party terms: Your use of Stripe is concurrently governed by Stripe’s own terms of service and developer agreements. We are not responsible for any service interruptions, compliance failures, or fee adjustments imposed on your account by Stripe.

Prohibited uses

You agree that you will not, and will not allow any third party to:

• Reverse engineer, decompile, or attempt to extract the source code of the Confoozd.com platform.
• Use the Service to distribute malicious code, malware, viruses, or run denial-of-service (DoS) attacks.
• Upload, sync, or display any show assets or content that is illegal, defamatory, infringes on third-party intellectual property rights, or violates local public decency regulations.
• Attempt to bypass any API throttling, security limits, or authentication layers implemented on our infrastructure.

Termination and suspension

You agree that you will not, and will not allow any third party to:

• Termination by client: You may stop using the Service and request the deletion of your account and API keys at any time by contacting [email protected].
• Termination by us: We reserve the right to suspend or terminate your access to the platform immediately, without prior notice, if we determine you have materially breached these Terms, failed to pay outstanding platform fees, or if your integration poses a security risk to our infrastructure or other clients.
• Effect of termination: Upon termination, your right to use the Service ceases instantly. We will remove your active Stripe API configurations and delete or anonymize your data entries in accordance with our Privacy Policy.

Disclaimer of warranties

The service is provided on an "as is" and "as available" basis. TheatreDigitalized expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, error-free, or that box office sync speeds will always be instantaneous.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall TheatreDigitalized (t/a Confoozd.com) be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data loss, loss of use, goodwill, or other intangible losses, arising out of or relating to (i) your use of or inability to use the service; (ii) any unauthorized access to or alteration of your Stripe API data or box office metadata; or (iii) any service disruptions stemming from third-party platforms.

Governing law and jurisdiction

These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of the jurisdiction in which TheatreDigitalized is legally registered, without regard to its conflict of law provisions. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located within that jurisdiction.

Changes to these terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice via email prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the updated Terms.
